These Unified Terms of Use (hereinafter, the “Terms of Use” or the “Terms”) constitute an electronic agreement that applies to your use of this Site, any and all services, products, and content between you (hereinafter the “User/you”) and a specific company of SPARTAEX.COM Group of companies (hereinafter-“SPARTAEX/we/us”) mentioned below, depending on User’s residence, place of registration and/or nationality.

The User acknowledges that (i) SPARTAEX is not a bank, (ii) SPARTAEX accounts are not insured by any government agency, and (iii) SPARTAEX is not subject to banking regulations.
Account - The contractual arrangement wherein a SPARTAEX User has accepted our Terms of Use, Privacy Policy, Affiliate Agreement, Merchant Terms and Conditions and Security Policy, and received approval to use the SPARTAEX Services, including the purchase, sale and Use of Fiat and Digital Currencies and to perform associated Transactions. Deposit - means a Transaction involving transfer of Fiat or/and Digital Funds to the SPARTAEX Account. Digital Currency (Crypto Currency) - The Peer-to-Peer internet currency. Buyer(s) - User(s) that are submitting an offer to buy Fiat or/and Digital Currencies through the Service. Fee - Refers to the fee which is payable to SPARTAEX on each Transaction, such as a Fiat and Digital Currencies Purchase Transaction. Fiat currency - government-issued currency, that are designated as legal tender in its country of issuance through government decree, regulation, or law. Margin Trading - means leverage trading when the User may trade with borrowed Funds instead of his/her own Personal Information - Information that identifies an individual - please refer to our Privacy Policy. Price - The price for which User are willing to purchase or sell Fiat and Digital Currencies, using the Service in a Fiat/Fiat, Digital/Digital and Digital/Fiat Currencies Purchase Transaction. The Price may be expressed in any of the currencies deposited by User in their Account and supported by the Service. Seller(s) - User(s) that are submitting an offer to sell Fiat or/and Digital Currencies through the Service. Service(s) - The technological platform, functional rules, exchange, POS, payment service and market managed by SPARTAEX to permit users to make Transactions in Fiat or/and Digital Currencies. Site - means SPARTAEX.com website https://spartaex.com Transaction - Includes the following: The agreement between the Buyer and the Seller to exchange Fiat/Fiat, Digital/Digital and Digital/Fiat Currencies through the Service for currencies at a commonly agreed rate; The conversion of currencies into other currencies deposited by User on their Account; The transfer of Fiat and Digital Currencies among Users; Accept and Send Payments among Users; Send and Receive Payroll; Pay and Receive payments by Credit or Debit Cards; The transfer of different currencies among User; The purchase/sale of products or/and services using SPARTAEX POS and payment services. SPARTAEX may not offer all of these types of transactions at this time or in all places. Transaction Price. The total price paid by the User in respect of each Transaction performed through the Service. User(s) - Refers to Buyers, Sellers, Exchanger, Payer, Accepter as well as any holder of an Account. Voucher - means an alphanumeric redeemable code, which can be used to buy, sell or transfer Digitalcurrency Withdrawal: is a Transaction involving a transfer of Funds from the User’s SPARTAEX Account to his/her bank account or to an account opened in any other financial institution and transfer of Digital Currency to Accounts not managed by SPARTAEX.
To be eligible to use the SPARTAEX Services, you must be at least 18 years old. Depending on your country of residence, you may not be able to use all the functions of the Site. It is your responsibility to follow those rules and laws in your country of residence and/or country from which you access this Site and Services. As long as you agree to and comply with these Terms of Use, SPARTAEX grants to you a personal, non-exclusive, non-transferable, non-sublicensable and limited right to enter and use the Site and the Service. The risk of loss in trading or holding Digital and Fiat Currency can be substantial. You should therefore carefully consider whether trading or holding Digital and Fiat Currency is suitable for you in light of your financial condition.
The Service operated by SPARTAEX allows users, to buy, sell, accept, send, accept payments, make payments and generally use Fiat and Digital Currency. The Service operated by SPARTAEX also allows all registered users of the Service (''Members'') to: Transfer Fiat and Digital Currency to other Members or other users of SPARTAEX outside the SPARTAEX site. Use Fiat and Digital Currency for purchasing goods. Accept and make payments in Fiat and Digital Currency.
In order to use any of the SPARTAEX Services, you must first register by providing your name, an e-mail address, password, and affirming your acceptance of all SPARTAEX Policies. SPARTAEX may, in our sole discretion, refuse to allow you to establish a SPARTAEX Account.
In order to use certain features of the SPARTAEX Services, including certain transfers of Fiat and Digital Currency, you may be required to provide SPARTAEX with certain personal information, including, but not limited to, your name, address, telephone number, e-mail address, date of birth, taxpayer identification number, government identification number, and information regarding your bank account (e.g., financial institution, account type, routing number, account number and address). In submitting this or any other personal information as may be required, you verify that the information is accurate and authentic, and you agree to update SPARTAEX if any information changes. You hereby authorize SPARTAEX to, directly or through third parties make any inquiries we consider necessary to verify your identity and/or protect against fraud, including to query identity information contained in public reports (e.g., your name, address, past addresses, or date of birth), to query account information associated with your bank account (e.g., name or account balance), and to take action we reasonably deem necessary based on the results of such inquiries and reports. You further authorize any and all third parties to which such inquiries or requests may be directed to fully respond to such inquiries or requests.
The Digital Currency Wallet services allow you to send supported Digital Currency to, and request, receive, and store supported Digital Currency from, third parties pursuant to instructions you provide through the SPARTAEX Site (each such transaction is a ''Digital Currency Transaction''). SPARTAEX reserves the right to refuse to process or to cancel any pending Digital Currency Transaction as required by law or in response to a subpoena, court order, or other binding government order or to enforce transaction limits. SPARTAEX cannot reverse a Digital Currency Transaction which has been broadcast to a Digital Currency network. The Digital Currency Wallet services are available only in connection with those Digital Currencies that SPARTAEX, in its sole discretion, decides to support. The Digital Currencies that SPARTAEX supports may change any time. Under no circumstances should you attempt to use your Digital Currency Wallet services to store, send, request, or receive digital currencies in any form that are not supported by SPARTAEX. SPARTAEX assumes no responsibility or liability in connection with any attempt to use SPARTAEX Services for digital currencies that SPARTAEX does not support.
You hereby certify to us that any Digital Currency used by you in connection with the SPARTAEX Platform are either owned by you or that you are validly authorized to carry out transactions using such Digital Currency, and that all transactions initiated with your Account are for your own Account and not on behalf of any other person or entity.
SPARTAEX processes supported Digital Currency according to the instructions received from its users and we do not guarantee the identity of any user, receiver, requestee or other party. You should verify all transaction information prior to submitting instructions to SPARTAEX. Once submitted to a Digital Currency network, a Digital Currency Transaction will be unconfirmed for a period of time pending sufficient confirmation of the transaction by the Digital Currency network. A transaction is not complete while it is in a pending state. Funds associated with transactions that are in a pending state will be designated accordingly, and will not be included in your SPARTAEX Account balance or be available to conduct transactions. SPARTAEX may charge network fees (miner fees) to process a Digital Currency transaction on your behalf. SPARTAEX will calculate the network fee in its discretion, although SPARTAEX will always notify you of the network fee at, before or after the time you authorize the transaction.
SPARTAEX processes supported Digital Currency according to the instructions received from its users and we do not guarantee the identity of any user, receiver, requestee or other party. You should verify all transaction information prior to submitting instructions to SPARTAEX. In the event you initiate a Digital Currency Transaction by entering the recipient's email address and the recipient does not have an existing SPARTAEX Account, SPARTAEX will email the recipient and invite them to open a SPARTAEX Account. If the designated recipient does not open a SPARTAEX Account within 5 days, SPARTAEX will return the supported Digital Currency associated with the transaction to your SPARTAEX Account. Once submitted, a Digital Currency Transaction will be unconfirmed for a period of time pending sufficient confirmation of the transaction. A transaction is not complete while it is in a pending state. Funds associated with transactions that are in a pending state will be designated accordingly, and will not be included in your SPARTAEX Account balance or be available to conduct transactions. SPARTAEX may charge fees to process a Digital Currency transaction-Internal transfer on your behalf. SPARTAEX will calculate the fee in its discretion, although SPARTAEX will always notify you of the fee at, before or after the time you authorize the transaction.
SPARTAEX securely stores all Digital Currency private keys in our control in a combination of online and offline storage. As a result, it may be necessary for SPARTAEX to retrieve certain information from offline storage in order to facilitate a Digital Currency Transaction in accordance with your instructions, which may delay the initiation or crediting of such Digital Currency Transaction for 48 hours or more. You acknowledge and agree that a Digital Currency Transaction facilitated by SPARTAEX may be delayed.
SPARTAEX has no control over, or liability for, the delivery, quality, safety, legality or any other aspect of any goods or services that you may purchase or sell to or from a third party (including other users of SPARTAEX Services). SPARTAEX is not responsible for ensuring that a buyer or a seller you may transact with, will actually complete the transaction or is authorized to do so. If you experience a problem with any goods or services purchased from, or sold to, a third party in connection with Digital Currency transferred using the SPARTAEX Services, or if you have a dispute with such third party, you must resolve the dispute directly with that third party. If you believe a third party has behaved in a fraudulent, misleading, or inappropriate manner, or if you cannot adequately resolve a dispute with a third party, you may notify SPARTAEX Support at support@spartaex.com so that we may consider what action to take, if any.
You may establish a customizable payment page (''Payment Page'') which will allow others to easily send Digital Currency to your SPARTAEX Account. You may establish and customize your Payment Page through your SPARTAEX Account settings, which will allow you to establish a user handle and associated Payments Page URL, upload a photo, and provide a short description. In establishing your Payment Page and uploading or adding any text, photo, or other material, you agree that you will not (i) post misleading materials or misappropriate the identity of another person or entity, (ii) post any copyrighted material which you are not authorized to post, or (iii) post any profane, unlawful, or offensive materials. SPARTAEX, in its sole discretion, may disable your Payment Page and take other action in accordance with this Agreement if we believe you are in violation of the foregoing or abusing this service. SPARTAEX may reclaim user handles associated with dormant SPARTAEX Accounts. SPARTAEX does not guarantee or endorse the purported identity, message, or other information posted by a user to the user's Payment Page.
Unless specifically announced on our website or through some other official public statement of SPARTAEX, we do not support forked protocols, which supplement or interact with a Digital Currency supported by SPARTAEX (collectively, “Advanced Protocols”). Do not use your SPARTAEX Account to attempt to receive, request, send, store, or engage in any other type of transaction involving an Advanced Protocol. The SPARTAEX platform is not configured to detect and/or secure Advanced Protocol transactions and SPARTAEX assumes absolutely no responsibility whatsoever in respect to Advanced Protocols.
SPARTAEX does not own or control the underlying software protocols which govern the operation of Digital Currencies supported on our platform. In general, the underlying protocols are open source and anyone can use, copy, modify, and distribute them. By using the SPARTAEX platforms, you acknowledge and agree (i) that SPARTAEX is not responsible for operation of the underlying protocols and that SPARTAEX makes no guarantee of their functionality, security, or availability; and (ii) that the underlying protocols are subject to sudden changes in operating rules (a/k/a “forks”), and that such forks may materially affect the value, function, and/or even the name of the Digital Currency you store in the SPARTAEX platform. In the event of a fork, you agree that SPARTAEX may temporarily suspend SPARTAEX operations (with or without advance notice to you) and that SPARTAEX may, in its sole discretion, decide whether or not to support (or cease supporting) either branch of the forked protocol entirely. You acknowledge and agree that SPARTAEX assumes absolutely no responsibility whatsoever in respect of an unsupported branch of a forked protocol. SPARTAEX may delist a Digital Currency at any time in its sole discretion based on a number of factors, one of which may include changes in a given Digital Currency characteristics after SPARTAEX has listed the Digital Currency. A transaction on the Platform may fail for several reasons, including but not limited to change in seller prices, insufficient margin, or unanticipated technical difficulties. We make no representation or warrant that any transaction will be executed properly. SPARTAEX is under no circumstances liable for any loss or injury suffered by a failure of a transaction to complete properly or in a timely manner. Further, SPARTAEX is in no way responsible for notifying you of a transaction failure. The User has full responsibility to determine and inquire into the failure of any transaction the User initiates. In the event that you receive any data, information, or software through our SPARTAEX Services other than that which you are entitled to receive pursuant to these Terms, you will immediately notify us and will not use, in any way whatsoever, such data, information, or software. If you request a withdrawal of Digital Currency and we cannot comply with it without closing some part of your open positions, we will not comply with the request until you have closed sufficient positions to allow you to make the withdrawal. SPARTAEX may refuse to execute a trade, impose trade amount limits or restrictions at any time in its sole discretion without notice. Specifically, SPARTAEX reserves the right to refuse to process, or the right to cancel or reverse, any transaction or disable a User’s deposit address on the Platform where SPARTAEX suspects the transaction involves money laundering, terrorist financing, fraud, or any other type of crime or if SPARTAEX suspects the transaction relates to a prohibited use as stated in our Terms, including transactions involving the opening of an Account and subsequent closure without any actual trading occurring. SPARTAEX provides deposit Accounts to enable trading using the SPARTAEX Services and does not allow Users to use such SPARTAEX Accounts as a web wallet or address changing service. We reserve the right to halt deposit activity at our sole discretion. While SPARTAEX may in its discretion reverse a trade, a User may not change, withdraw, or cancel its authorization to make a transaction, except with respect to partially filled orders. SPARTAEX may correct, reverse, or cancel any trade impacted by an error in processing your purchase or otherwise. Your remedy in the event of an error will be limited. You may seek to cancel your order or obtain a refund of any amounts charged to you, although we cannot guarantee such cancellations or refunds will always be possible. SPARTAEX provides its Users with a platform that allows their orders to be matched with the orders of other Users. Orders may be partially filled or may be filled by a number of orders, depending on the trading activity at the time an order is placed. The Digital Currency that are available for purchase through the SPARTAEX Services may be subject to high or low transaction volume, liquidity, and volatility at any time for potentially extended periods. You acknowledge that while we are using commercially reasonable methods to provide exchange rate information to you through our SPARTAEX Services, the exchange rate information we provide may differ from prevailing exchange rates made available by third parties. Similarly, the actual market rate at the time of your trade may be different from the indicated prevailing rate depending on the velocity of trading in the Digital Currency involved in your trade. You agree that SPARTAEX is not liable for price fluctuations or differences in actual versus indicated rates.
SPARTAEX does not have any ability to prevent or mitigate attacks on blockchain networks. With respect to its platform, SPARTAEX reserves the right to take the following commercially reasonable actions in the event of an attack: (i) If SPARTAEX is able to confirm that a Digital Currency active on the Platform has been compromised or is under attack, SPARTAEX may immediately halt trading, deposits, and withdrawals for such Digital Currency; (ii) if it is determined that such an attack caused the Digital Currency to greatly decrease in value, SPARTAEX may discontinue trade activity on such Digital Currency entirely. SPARTAEX does not have any obligation to engage in activity in relation to attacks on blockchain networks. Resolutions concerning deposits, withdrawals, and User balances for an attacked Digital Currency will be determined on a case-by-case basis by SPARTAEX in its sole discretion. SPARTAEX makes no representation and does not warrant the safety of the Platform and is not liable for any lost value or stolen property, whether or not SPARTAEX was negligent in providing the proper security.
Approved users may establish and fund one or more Fiat Currency Wallets to use Fiat Currency on the SPARTAEX platforms. You are the owner of the balance of each of your Fiat Currency Wallets. SPARTAEX holds the balance of your Fiat Currency Wallets in dedicated custodial accounts with financial institutions. All funds held in a Fiat Currency Wallet are held on trust by SPARTAEX for the benefit of the user. The Fiat Currency Wallet services allow you to send supported Fiat Currency to, and request, receive, and store supported Fiat Currency from, third parties pursuant to instructions you provide through the SPARTAEX Site (each such transaction is a ''Fiat Currency Transaction''). SPARTAEX reserves the right to refuse to process or to cancel any pending Fiat Currency Transaction as required by law or in response to a subpoena, court order, or other binding government order or to enforce transaction limits SPARTAEX cannot reverse a Fiat Currency Transaction which has been broadcast to a Fiat Currency network. The Fiat Currency Wallet services are available only in connection with those Fiat Currencies that SPARTAEX, in its sole discretion, decides to support. The Fiat Currencies that SPARTAEX supports may change any time. Under no circumstances should you attempt to use your Fiat Currency Wallet services to store, send, request, or receive digital currencies in any form that are not supported by SPARTAEX. SPARTAEX assumes no responsibility or liability in connection with any attempt to use SPARTAEX Services for digital currencies that SPARTAEX does not support.

You may initiate a transfer from your linked bank account to fund a Fiat Currency Wallet. Fees may apply to deposits and withdrawals from your Fiat Currency Wallet. For deposits, SPARTAEX will credit your Fiat Currency Wallet a corresponding amount of Fiat Currency after funds are delivered to SPARTAEX, typically within one to seven business days after you authorize a deposit. For withdrawals, SPARTAEX will immediately debit your Fiat Currency Wallet when you authorize a withdrawal and funds will typically settle to you within one to seven business days. Bank fees are netted out of transfers to or from SPARTAEX. We will not process a transfer if associated bank fees exceed the value of the transfer.
SPARTAEX processes supported Fiat Currency according to the instructions received from its users and we do not guarantee the identity of any user, receiver, requestee or other party. You should verify all transaction information prior to submitting instructions to SPARTAEX. Once submitted to a Fiat Currency network, a Fiat Currency Transaction will be unconfirmed for a period of time pending sufficient confirmation of the transaction by the Fiat Currency network. A transaction is not complete while it is in a pending state. Funds associated with transactions that are in a pending state will be designated accordingly, and will not be included in your SPARTAEX Account balance or be available to conduct transactions. SPARTAEX may charge fees to process a Fiat Currency transaction on your behalf. SPARTAEX will calculate the fee in its discretion, although SPARTAEX will always notify you of the fee at or before the time you authorize the transaction.
SPARTAEX holds the balance of your Fiat Currency Wallets in dedicated custodial accounts with financial institutions.

By using the SPARTAEX platforms, you acknowledge and agree (i) that SPARTAEX is not responsible for any loss of value of Fiat Currency. In the event of a loss of value of Fiat Currency, you agree that SPARTAEX may temporarily suspend SPARTAEX operations (with or without advance notice to you) and that SPARTAEX may, in its sole discretion, decide whether or not to support (or cease supporting) any type of Fiat Currency. You acknowledge and agree that SPARTAEX assumes absolutely no responsibility whatsoever in respect of an loss of value of any Fiat Currency on SPARTAEX Platforms. SPARTAEX may delist a Fiat Currency at any time in its sole discretion based on a number of factors. A transaction on the SPARTAEX Platform may fail for several reasons, including but not limited to change in seller prices, insufficient margin, or unanticipated technical difficulties. Similarly, the actual market rate at the time of your trade may be different from the indicated prevailing rate depending on the velocity of trading in the Fiat Currency involved in your trade. You agree that SPARTAEX is not liable for price fluctuations or differences in actual versus indicated rates.
Margin trading is HIGH RISK. As a borrower, you may sustain a total loss of Fiat and Digital Currencies, or owe Fiat and Digital Currencies beyond what you have deposited to your Account. The high volatility and substantial risk of illiquidity in markets means that you may not always be able to liquidate your position. You agree to maintain a sufficient amount of Fiat and Digital Currencies at all times to meet SPARTAEX’s minimum balance requirements, as such requirements may be modified from time to time. If the value of the assets in your Account falls below the minimum balance requirement or SPARTAEX determines, at its sole discretion, that your Account appears to be in danger of defaulting on a loan, SPARTAEX may seize and liquidate any or all of your positions and assets on any balance in your Account in order to settle your debt to other Users. If, after your positions and assets are liquidated, your Account still contains insufficient Fiat and Digital Currencies to settle your debts to other Users, you will be responsible for any additional Fiat and Digital Currencies owed. Intentionally defaulting on a loan may result in SPARTAEX reporting your activities to authorities and/or in legal prosecution. Although SPARTAEX takes several precautions to prevent a User from defaulting on a loan, the high volatility and substantial risk of illiquidity in markets means that SPARTAEX cannot make any guarantees to any Users using the Services against default. When you lend Fiat and Digital Currencies to other Users, you risk the loss of an unpaid principal if the borrower defaults on a loan and liquidation of the borrower's Account fails to raise sufficient Fiat and Digital Currencies to cover the borrower’s debt. Under certain market conditions, you may find it difficult or impossible to liquidate a position. This can occur, for example, if there is insufficient liquidity in the market or due to technical issues on our platform. Placing contingent orders, such as ''stop-loss'' or ''stop-limit'' orders, will not necessarily limit your losses to the intended amounts, since market conditions may make it impossible to execute such orders. The use of leverage can work against you as well as for you and can lead to large losses as well as gains. All Users understand that the technology underlying Fiat and Digital Currencies is subject to change at any time, and such changes may affect your assets stored on our platform. You claim full responsibility for monitoring such technological changes and understanding their consequences for your Fiat and Digital Currency. Users conduct all trading, margin trading, lending, and/or borrowing on their own account and SPARTAEX does not take any responsibility for any loss or damage incurred as a result of your use of any Services or your failure to understand the risks involved in Fiat and Digital Currency use generally or your use of our Services.
Eligible users in certain jurisdictions may buy or sell supported Fiat and Digital Currency through the Exchange Services. The Exchange Services are subject to the SPARTAEX ''Exchange Rate'' for the given transaction. ''Exchange Rate'' means the price of a given supported Fiat and Digital Currency amount in terms of Fiat Currency or other Digital Currency as quoted on the SPARTAEX Site. The Exchange Rate is stated either as a ''Buy Price'' or as a ''Sell Price,'' which is the price in terms of Fiat Currency or Digital Currency at which you may buy or sell supported Fiat or Digital Currency to SPARTAEX. You acknowledge that the Buy Price Exchange Rate may not be the same as the Sell Price Exchange Rate at any given time, and that SPARTAEX may add a margin or “spread” to the quoted Exchange Rate. You agree, as a condition of using any SPARTAEX Exchange Services, to accept the Exchange Rate as the sole conversion metric. SPARTAEX reserves the right to delay any Exchange Service transaction if it perceives a risk of fraud or illegal activity. SPARTAEX does not guarantee the availability of its Exchange Service, and the act of purchasing supported Fiat and Digital Currency from SPARTAEX does not result in a guarantee that you may sell your supported Fiat and Digital Currency to SPARTAEX.
After successfully completing the Verification Procedures, you may purchase supported Fiat and Digital Currency by linking a valid payment method. You authorize SPARTAEX to initiate debits from your selected payment method(s) in settlement of purchase transactions. An Exchange Fee (defined below) applies to all purchase transactions. Although SPARTAEX will attempt to deliver supported Fiat and Digital Currency to you as promptly as possible, funds may be debited from your selected payment method before Fiat and Digital Currency is delivered to your SPARTAEX Account. We will make best efforts to fulfill all transactions, but in the rare circumstance where SPARTAEX cannot fulfill your purchase order, we will notify you and seek your approval to fulfill the purchase order at the contemporaneous Buy Price Exchange Rate. To secure the performance of your obligations under this Agreement, you grant to SPARTAEX a lien on and security interest in and to the balances in your account.

You authorize SPARTAEX to debit your SPARTAEX Account(s) and initiate payments to your selected payment method(s) in settlement of sell transactions. An applicable Exchange Fee (defined below) applies to all sale transactions. Your receipt of funds will depend on the payment type, and may take up to three or more business days.
Each Market Service transaction is subject to a fee (a '' Market Fee''). The applicable Market Fee is displayed to you on the SPARTAEX Site prior to you completing a Market Service transaction. SPARTAEX will not process a Market transaction if the Market Fee and any other associated fees, such as wire transfer fees, would exceed the value of your transaction. Payments using other methods not described below, such as wire (if permitted), are subject to different transaction fees disclosed to you before you authorize the transaction. The availability of each Payment Method depends on a number of factors, including but not limited to your location, the identification information you have provided to us, and limitations imposed by third party payment processors. SPARTAEX reserves the right to adjust its Market Fees and any applicable waivers at any time. We will always notify you of the Market Fee which applies to your transaction, both at the time of the transaction and in each receipt we issue to you.

You cannot cancel, reverse, or change any transaction marked as complete or pending. If your payment is not successful or if your payment method has insufficient funds, you authorize SPARTAEX, in its sole discretion, either to cancel the transaction or to debit your other payment methods, including SPARTAEX balances or other linked accounts, in any amount necessary to complete the transaction. You are responsible for maintaining an adequate balance and/or sufficient credit limits in order to avoid overdraft, insufficient funds, or similar fees charged by your payment provider. SPARTAEX reserves the right to refuse to process, or to cancel or reverse, any purchases or sales of Digital Currency in its sole discretion, even after funds have been debited from your account(s), if SPARTAEX suspects the transaction involves (or has a high risk of involvement in) money laundering, terrorist financing, fraud, or any other type of financial crime; in response to a subpoena, court order, or other government order; if SPARTAEX reasonably suspects that the transaction is erroneous; or if SPARTAEX suspects the transaction relates to Prohibited Use or a Prohibited Business as set forth below. In such instances, SPARTAEX will reverse the transaction and we are under no obligation to allow you to reinstate a purchase or sale order at the same price or on the same terms as the cancelled transaction. Payment Services Partners. SPARTAEX may use a third party payment processor to process any Fiat and Digital Currency payment between you and SPARTAEX, including but not limited to payments in relation to your use of the Exchange Service or deposits or withdrawals from your Fiat and Digital Currency Wallet.
SPARTAEX reserves the right to assess and collect the following fees from the User’s account:
You agree to pay all Pricing and Fees and your continued use of the SPARTAEX Services indicates your continued acceptance of the Pricing and Fees. We will publish any updated fees online and post a message to your “Account” section of the SPARTAEX website. If you are unclear as to any applicable fee, you should contact SPARTAEX Customer Support. Your transactions may be subject to currency conversions. If you make a withdrawal or transfer from your SPARTAEX Account denominated in one currency to an account in a different currency, then there may be a fee for the conversion into the destination currency. You may be charged a currency conversion Fee as a percentage of the transaction or as a fixed amount, as applicable and as specified in the Pricing and Fees. Fees payable by you will be deducted from your SPARTAEX Balance and you hereby authorize us to so deduct such fees. Transaction fees will be charged when the transaction is executed. If your SPARTAEX Balance is insufficient to cover the fees, we may refuse to execute the payment. Upon satisfying all legal requirements necessary to recover funds, SPARTAEX will, if at all possible, attempt to recover the funds in question. Common legal requirements include, but are not limited to, valid court orders, valid law enforcement orders, notarized copies of all requests submitted in writing, and notarized copies of all IDs. In most cases all originals have to be submitted via postal mail, as electronic copies sent by email are not acceptable. If for any reason SPARTAEX is requested to recover any funds for any reason, a one-time 10% Recovery fee will be charged in order to cover any and all expenses of the recovery process.
We grant you a limited, nonexclusive, nontransferable license, subject to the terms of this Agreement, to access and use the SPARTAEX Site, and related content, materials, information (collectively, the ''Content'') solely for approved purposes as permitted by SPARTAEX from time to time. Any other use of the SPARTAEX Site or Content is expressly prohibited and all other right, title, and interest in the SPARTAEX Site or Content is exclusively the property of SPARTAEX and its licensors. You agree you will not copy, transmit, distribute, sell, license, reverse engineer, modify, publish, or participate in the transfer or sale of, create derivative works from, or in any other way exploit any of the Content, in whole or in part. ''SPARTAEX.com'', ''SPARTAEX and all logos related to the SPARTAEX Services or displayed on the SPARTAEX Site are either trademarks or registered marks of SPARTAEX or its licensors. You may not copy, imitate or use them without SPARTAEX's prior written consent.
Although we intend to provide accurate and timely information on the SPARTAEX Site, the SPARTAEX Site (including, without limitation, the Content) may not always be entirely accurate, complete or current and may also include technical inaccuracies or typographical errors. In an effort to continue to provide you with as complete and accurate information as possible, information may be changed or updated from time to time without notice, including without limitation information regarding our policies, products and services. Accordingly, you should verify all information before relying on it, and all decisions based on information contained on the SPARTAEX Site are your sole responsibility and we shall have no liability for such decisions. Links to third-party materials (including without limitation websites) may be provided as a convenience but are not controlled by us. You acknowledge and agree that we are not responsible for any aspect of the information, content, or services contained in any third-party materials or on any third party sites accessible or linked to the SPARTAEX Site.
If, to the extent permitted by SPARTAEX from time to time, you grant express permission to a third party to access or connect to your SPARTAEX Account, either through the third party's product or service or through the SPARTAEX Site, you acknowledge that granting permission to a third party to take specific actions on your behalf does not relieve you of any of your responsibilities under this Agreement. You are fully responsible for all acts or omissions of any third party with access to your SPARTAEX Account. Further, you acknowledge and agree that you will not hold SPARTAEX responsible for, and will indemnify SPARTAEX from, any liability arising out of or related to any act or omission of any third party with access to your SPARTAEX Account. You may change or remove permissions granted by you to third parties with respect to your SPARTAEX Account at any time through the Account Settings (Integrations) page on the SPARTAEX Site.
The use of all SPARTAEX Services is subject to a limit on the amount of volume by type of Account, you may transact or transfer in a given period (e.g., daily, yearly). Your transaction limits may vary depending on your payment method, verification steps you have completed and country where you from. SPARTAEX reserves the right to change applicable limits as we deem necessary in our sole discretion. If you wish to raise your limits beyond the posted amounts, you may submit a request. We may require you to submit additional information about yourself or your business, provide records, and arrange for meetings with SPARTAEX staff (such process, ''Enhanced Due Diligence''). SPARTAEX reserves the right to charge you costs and fees associated with Enhanced Due Diligence, provided that we notify you in advance of any such charges accruing. In our sole discretion, we may refuse to raise your limits or we may lower your limits at a subsequent time even if you have completed Enhanced Due Diligence.
In connection with your use of the SPARTAEX Services, and your interactions with other users, and third parties you agree and represent you will not engage in any Prohibited Business or Prohibited Use defined herein. We reserve the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, sanctions programs, legal process or governmental request. We reserve the right to cancel and/or suspend your SPARTAEX Account and/or block transactions or freeze funds immediately and without notice if we determine, in our sole discretion, that your Account is associated with a Prohibited Use and/or a Prohibited Business.
Your use of the SPARTAEX Services and the SPARTAEX Site is subject to international export controls and economic sanctions requirements. By sending, receiving, buying, selling, trading or storing Fiat and Digital Currency through the SPARTAEX Site or SPARTAEX Services, you represent and warrant that you will comport with those requirements. Without limiting the foregoing, you may not acquire Fiat and Digital Currency or use any of the SPARTAEX Services through the SPARTAEX Site if: (1) you are in, under the control of, or a national or resident of Cuba, Iran, North Korea, Sudan, or Syria or any other country subject to HM Treasury's financial sanctions regime, United States embargo, UN sanctions, or if you are on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Commerce Department's Denied Persons List, Unverified List, Entity List HM Treasury's financial sanctions regime; or (2) you intend to supply any acquired or stored Fiat or Digital Currency or SPARTAEX Services to Cuba, Iran, North Korea, Sudan or Syria or any other country subject to HM Treasury's financial sanctions regime or United States embargo (or a national or resident of one of these countries), or to a person on the Specially Designated Nationals List, Denied Persons List, Unverified List, Entity List, or HM Treasury's financial sanctions regime.
SPARTAEX may: suspend, restrict, or terminate your access to any or all of the SPARTAEX Services, and/or deactivate or cancel your SPARTAEX Account if: You take any action that SPARTAEX deems as circumventing SPARTAEX's controls, including, but not limited to, opening multiple SPARTAEX Accounts or abusing promotions which SPARTAEX may offer from time to time; or Use of your SPARTAEX Account is subject to any pending litigation, investigation, or government proceeding and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your Account activity; or We reasonably suspect you of using your SPARTAEX Account in connection with a Prohibited Use or Business; or We are so required by a facially valid subpoena, court order, or binding order of a government authority; or Our service partners are unable to support your use; or You take any action that SPARTAEX deems as circumventing SPARTAEX's controls, including, but not limited to, opening multiple SPARTAEX Accounts or abusing promotions which SPARTAEX may offer from time to time.
You will be permitted to transfer Fiat and Digital Currency or funds associated with your Fiat and Digital Currency Wallet(s) and/or for fifteen (15) days after Account deactivation or cancellation unless such transfer is otherwise prohibited under the law, including but not limited to applicable sanctions programs, or by a facially valid subpoena or court order. If SPARTAEX suspends or closes your account, or terminates your use of SPARTAEX Services for any reason SPARTAEX reserves the right to require you to complete the Verification Procedures before permitting you with transfer or withdraw Digital Currency or Fiat Currency. If SPARTAEX suspends or closes your account, or terminates your use of SPARTAEX Services for any reason, we will provide you with notice of our actions unless a court order or other legal process prohibits SPARTAEX from providing you with such notice. You acknowledge that SPARTAEX's decision to take certain actions, including limiting access to, suspending, or closing your account, may be based on confidential criteria that are essential to SPARTAEX's risk management and security protocols. You agree that SPARTAEX is under no obligation to disclose the details of its risk management and security procedures to you. You may cancel your SPARTAEX Account at any time by withdrawing all balances and sending a Support ticket. You will be required to pay any outstanding amounts owed to SPARTAEX. You authorize us to cancel or suspend any pending transactions at the time of cancellation.
SPARTAEX is an independent contractor for all purposes. Nothing in this Agreement shall be deemed or is intended to be deemed, nor shall it cause, you and SPARTAEX to be treated as partners, joint ventures, or otherwise as joint associates for profit, or either you or SPARTAEX to be treated as the agent of the other.
If you receive information about another user through the SPARTAEX Services, you must keep the information CONFIDENTIAL and only use it in connection with the SPARTAEX Services. You may not disclose or distribute a user's information to a third party or use the information except as reasonably necessary to effectuate a transaction and other functions reasonably incidental thereto such as support, reconciliation and accounting unless you receive the user's express consent to do so. You may not send unsolicited email to a user through the SPARTAEX Services.
You are responsible for maintaining adequate security and control of any and all IDs, passwords, hints, personal identification numbers (PINs), Two Factor Authentication (2FA), API keys or any other codes that you use to access the SPARTAEX Services. Any loss or compromise of the foregoing information and/or your personal information may result in unauthorized access to your SPARTAEX Account by third-parties and the loss or theft of any Fiat and Digital Currency and/or funds held in your SPARTAEX Account and any associated accounts, including your linked bank account(s) and credit card(s). You are responsible for keeping your email address and telephone number up to date in your Account Profile in order to receive any notices or alerts that we may send you. We assume no responsibility for any loss that you may sustain due to compromise of account login credentials due to no fault of SPARTAEX and/ or failure to follow or act on any notices or alerts that we may send to you. In the event you believe your SPARTAEX Account information has been compromised, contact SPARTAEX Support immediately at support@spartaex.com.
It is your sole responsibility to determine whether, and to what extent, any taxes apply to any transactions you conduct through the SPARTAEX Services, and to withhold, collect, report and remit the correct amounts of taxes to the appropriate tax authorities. Your transaction history is available through your SPARTAEX Account.
If SPARTAEX is holding funds in your account, and SPARTAEX is unable to contact you and has no record of your use of the Services for more than one year, applicable law may require SPARTAEX to report these funds as unclaimed property to the applicable jurisdiction. If this occurs, SPARTAEX will try to locate you at the address shown in our records, but if SPARTAEX is unable to locate you, it may be required to deliver any such funds to the applicable or jurisdiction as unclaimed property. SPARTAEX reserves the right to deduct a dormancy fee, Abandoned Account fee or other administrative charges from such unclaimed funds, as permitted by applicable law our Terms Of Services and/or Fees schedule.
Where the User is a US Person or maintains a connection between the account and a US person, the User authorizes SPARTAEX to report to the US Internal Revenue Service (IRS) any information relating to the relationship with SPARTAEX and requested within the ''FATCA Report'', including but not limited to the name and address of the User, as well as information on owners of the User if any, as well as the tax identification number (TIN or EIN) of the User, copies of any IRS forms, including the Form W-9 ''Request for the identification and certification of the taxpayer'' which is are in the file and / or any or all of the data that are contained in such forms, as well as statements, total amount held in bank assets, earnings and income, which were obtained on all accounts, as well as any further information regarding the banking relationship which could be required of the IRS. The User acknowledges and accepts that all data disclosed by SPARTAEX to the IRS, are then subject to U.S. law and no longer subject to UK law.
SPARTAEX protects itself from involvement in any activity that facilitates money laundering or other criminal activities by following the UK AML legislation, FinCEN guidance for MSBs operating in the United States and AML legislation in countires where SPARTAEX have opened bank Accounts. SPARTAEX aims to reasonably identify each User by cross-checking User data against governmental watch lists such as the Specially Designated Nationals, Blocked Persons List (“SDN”) and Politically exposed Person list (PEP) maintained by the HM Treasury, Office of Financial Sanctions Implementation in UK and Office of Foreign Assets Control (“OFAC”) within the U.S. Department of Treasury, as well as through the utilization of 3rd party identity verification and authentication services. If a User or a User’s transaction is flagged as suspicious through our internal controls, SPARTAEX will require additional proof of identification from the User and has the right to not permit any trades, deposits, and/or withdrawals, receving and make payments until additional and verifiable proof of identity satisfactory to SPARTAEX in its sole discretion is received and SPARTAEX has approved the User for use of the Platform. By agreeing to our Terms, you acknowledge and understand that SPARTAEX maintains verification levels which require User participation and verification in order to obtain, with leveled permissions based on User supplied information, our ability to verify it, and our internal policies. You accept that you may not be able to achieve a desired level of verification, and SPARTAEX reserves the right to determine, at its sole discretion, the appropriate verification level and criteria for any User, as well as the right to downgrade Users without prior notice. SPARTAEX may, from time to time, implement policies restricting verification levels and criteria by nationality, country of residence, or any other factor. This may affect your ability to withdraw Fiat and Digital Currency and you agree to indemnify, defend and hold harmless SPARTAEX against any losses associated with an inability to deposit and/or withdraw Fiat and Digital Currency based on the verification level assigned by SPARTAEX to your Account. Whilst SPARTAEX are currently unregulated and do not fall with the scope of the AML/CTF obligations in the UK the senior management have implemented systems and procedures that meet the UK AML legislation. This decision reflects the senior managements desire to prevent money laundering and not be used by criminals to launder proceeds of crime.

The SPARTAEX AML Policy is designed to prevent money laundering by meeting the UK AML legislation obligations including the need to have adequate systems and controls in place to mitigate the risk of the firm being used to facilitate financial crime. This AML Policy sets out the minimum standards which must be complied with and includes: The appointment of a Money Laundering Reporting Officer (MLRO) who has sufficient level of seniority and independence and who has responsibility for oversight of compliance with relevant legislation, regulations, rules and industry guidance; Establishing and maintaining a Risk Based Approach (RBA) towards assessing and managing the money laundering and terrorist financing risks to the company; Establishing and maintaining risk-based customer due diligence, identification, verification and know your customer (KYC) procedures, including enhanced due diligence for those customers presenting higher risk, such as Politically Exposed Persons (PEPs); Establishing and maintaining risk based systems and procedures to monitor on-going customer activity; Procedures for reporting suspicious activity internally and to the relevant law enforcement authorities as appropriate; The maintenance of appropriate records for the minimum prescribed periods; Training and awareness for all relevant employees
In the event of a complaint, please set out the cause of your complaint, how you would like us to resolve the complaint and any other information you believe to be relevant. We will acknowledge your complaint within 72 hours of its receipt if you contact us via our Customer Support webpage or email us at support@spartaex.com. A Customer Complaints officer (''Officer'') will consider your complaint. The Officer will consider your complaint without prejudice based on the information you have provided and any information provided by SPARTAEX. Within four weeks of our receipt of your complaint the Officer will address your complaint by sending you an e-mail (''Resolution Notice'') in which the Officer will: (i) offer to resolve your complaint in the way your requested; (ii) make a determination rejecting your complaint and set out the reasons for the rejection; or (iii) offer to resolve your complaint with an alternative solution. Upon receipt of the Resolution Notice, you will have 15 business days to accept or reject the offer or determination, which you must do by following the instructions set out in the Resolution Notice. Failure to respond to a Resolution Notice will be deemed to be a withdrawal of the complaint and an acceptance that we have no liability to you regarding the subject matter of the complaint. If you are late in responding to the Resolution Notice, SPARTAEX may treat your response as if it has been submitted on time.
In the event that you reject an offer or determination (‘‘Rejection’‘), please set out the reasons for the Rejection and include any additional information that you believe is pertinent to your complaint. Any Rejection will be treated as an application to appeal the offer or determination set out in the Resolution Notice. Our Customer Appeals committee (‘‘Appeals Committee’‘) will impartially consider your complaint (including any additional information provided). We will acknowledge your Rejection within 24 hours of its receipt if you contact us in the prescribed electronic way, and within ten business days if you contact us in any other prescribed way. Within four weeks of our receipt of the Rejection the Appeals Committee will address your complaint by sending you an e-mail (‘‘Final Notice’‘) in which the Appeals Committee will: (i) uphold the Resolution Notice; or (ii) reject the Resolution Notice. Notwithstanding its decision regarding the Resolution Notice, the Appeals Committee may also make a new offer to resolve the complaint. Upon receipt of the Final Notice, you will have 15 business days to accept or reject the offer or determination, which you must do by following the instructions set out in the Final Notice. SPARTAEX may extend the deadline for you to accept the offer. Failure to respond to a Final Notice will be deemed to be a withdrawal of the complaint and an acceptance that we have no liability to you regarding the subject matter of the complaint. For consumers only: if you fail to respond to a Final Notice and file a claim in a competent court, your failure may be used as evidence of your unwillingness to settle the issue and/or the vexatious nature of the complaint.
This provision only applies to consumers. You agree to use the complaints procedure of this Section before filing any claim in a competent court. Failure to comply with this provision may be used as evidence of your unwillingness to settle the issue and/or the vexatious nature of the complaint.
We shall not bear any liability, whatsoever, for any damage or interruptions caused by any computer spyware, scareware, viruses, Trojan horses, worms or other malware that may affect your computer or other equipment, or any phishing, spoofing or other attack. We advise the regular use of a reputable and readily available virus screening and prevention software. You should also be aware that SMS and email services are vulnerable to spoofing and phishing attacks and should use care in reviewing messages purporting to originate from SPARTAEX. Always log into your SPARTAEX Account through the SPARTAEX Site and use 2FA to review any transactions or required actions if you have any uncertainty regarding the authenticity of any communication or notice.
If you have a dispute with one or more users of the SPARTAEX services, you release SPARTAEX, its affiliates and service providers, and each of their respective officers, directors, agents, joint venturers, employees and representatives from any and all claims, demands and damages (actual and consequential) of every kind and nature arising out of or in any way connected with such disputes. You agree to indemnify and hold SPARTAEX, its affiliates and Service Providers, and each of its or their respective officers, directors, agents, joint venturers, employees and representatives, harmless from any claim or demand (including attorneys' fees and any fines, fees or penalties imposed by any regulatory authority) arising out of or related to your breach of this Agreement or your violation of any law, rule or regulation, or the rights of any third party.
IN NO EVENT SHALL SPARTAEX, ITS AFFILIATES AND SERVICE PROVIDERS, OR ANY OF THEIR RESPECTIVE OWNERS, OFFICERS, DIRECTORS, AGENTS, JOINT VENTURERS, EMPLOYEES OR REPRESENTATIVES, BE LIABLE (A) FOR ANY AMOUNT GREATER THAN THE VALUE OF THE SUPPORTED FIAT OR DIGITAL CURRENCY ON DEPOSIT IN YOUR SPARTAEX ACCOUNT OR (B) FOR ANY LOST PROFITS OR ANY SPECIAL, INCIDENTAL, INDIRECT, INTANGIBLE, OR CONSEQUENTIAL DAMAGES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH AUTHORIZED OR UNAUTHORIZED USE OF THE SARTAEX SITE OR THE SPARTAEX SERVICES, OR THIS AGREEMENT, EVEN IF AN AUTHORIZED REPRESENTATIVE OF SPARTAEX HAS BEEN ADVISED OF OR KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. THIS MEANS, BY WAY OF EXAMPLE ONLY (AND WITHOUT LIMITING THE SCOPE OF THE PRECEDING SENTENCE), THAT IF YOU CLAIM THAT SPARTAEX FAILED TO PROCESS A BUY OR SELL TRANSACTION PROPERLY, YOUR DAMAGES ARE LIMITED TO NO MORE THAN THE VALUE OF THE SUPPORTED FIAT OR/AND DIGITAL CURRENCY AT ISSUE IN THE TRANSACTION, AND THAT YOU MAY NOT RECOVER FOR LOST PROFITS, LOST BUSINESS OPPORTUNITES, OR OTHER TYPES OF SPECIAL, INCIDENTIAL, INDIRECT, INTANGIBLE, OR CONSEQUENTIAL DAMAGES IN EXCESS OF THE VALUE OF THE SUPPORTED DIGITAL CURRENCY AT ISSUE IN THE TRANSACTION.SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. THE SPARTAEX SERVICES ARE PROVIDED ON AN ‘‘AS IS’‘ AND ‘‘AS AVAILABLE’‘ BASIS WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPARTAEX SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. SPARTAEX DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES THAT ACCESS TO THE SITE, ANY PART OF THE SPARTAEX SERVICES, OR ANY OF THE MATERIALS CONTAINED THEREIN, WILL BE CONTINUOUS, UNINTERRUPTED, TIMELY, OR ERROR-FREE. SPARTAEX makes no representations about the accuracy or completeness of historical Fiat and Digital Currency price data available on the Site. SPARTAEX will make reasonable efforts to ensure that requests for electronic debits and credits involving bank accounts, credit cards, and check issuances are processed in a timely manner but SPARTAEX makes no representations or warranties regarding the amount of time needed to complete processing which is dependent upon many factors outside of our control.
This Agreement, the Privacy Policy, Electronic Delivery Of Communications, and Appendices incorporated by reference herein comprise the entire understanding and agreement between you and SPARTAEX as to the subject matter hereof, and supersedes any and all prior discussions, agreements and understandings of any kind (including without limitation any prior versions of this Agreement), and every nature between and among you and SPARTAEX. Section headings in this Agreement are for convenience only, and shall not govern the meaning or interpretation of any provision of this Agreement.
We may amend or modify this Agreement by posting on the SPARTAEX Site or emailing to you the revised Agreement, and the revised Agreement shall be effective at such time. If you do not agree with any such modification, your sole and exclusive remedy is to terminate your use of the Services and close your account. You agree that we shall not be liable to you or any third party for any modification or termination of the SPARTAEX Services, or suspension or termination of your access to the SPARTAEX Services, except to the extent otherwise expressly set forth herein. If the revised Agreement includes a material change, we will endeavor to provide you advanced notice via our website and/or email before the material change becomes effective.
You may not assign any rights and/or licenses granted under this Agreement. We reserve the right to assign our rights without restriction, including without limitation to any SPARTAEX affiliates or subsidiaries, or to any successor in interest of any business associated with the SPARTAEX Services. Any attempted transfer or assignment in violation hereof shall be null and void. Subject to the foregoing, this Agreement will bind and inure to the benefit of the parties, their successors and permitted assigns.
If any provision of this Agreement shall be determined to be invalid or unenforceable under any rule, law or regulation or any governmental agency, local, state, or federal, such provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under any applicable law and the validity or enforceability of any other provision of this Agreement shall not be affected.
In the event that SPARTAEX is acquired by or merged with a third party entity, we reserve the right, in any of these circumstances, to transfer or assign the information we have collected from you as part of such merger, acquisition, sale, or other change of control.
All provisions of this Agreement which by their nature extend beyond the expiration or termination of this Agreement, including, without limitation, sections pertaining to suspension or termination, SPARTAEX Account cancellation, debts owed to SPARTAEX, general use of the SPARTAEX Site, disputes with SPARTAEX, and general provisions, shall survive the termination or expiration of this Agreement.
The Terms of Use shall be governed and construed in accordance with English Law. The parties agree to irrevocably submit to the exclusive jurisdiction of the English Courts.
We shall not be liable for delays, failure in performance or interruption of service which result directly or indirectly from any cause or condition beyond our reasonable control, including but not limited to, any delay or failure due to any act of civil or military authorities, act of terrorists, civil disturbance, war, strike or other labor dispute, fire, interruption in telecommunications or Internet services or network provider services, failure of equipment and/or software, other catastrophe or any other occurrence which is beyond our reasonable control and shall not affect the validity and enforceability of any remaining provisions.
Notwithstanding any other provision of this Agreement, any translation of this Agreement is provided for your convenience. The meanings of terms, conditions and representations herein are subject to definitions and interpretations in the English language. Any translation provided may not accurately represent the information in the original English.
While the Account and the Services provided to a User are not transferable under any circumstance and shall be used only by the User, SPARTAEX shall have the right to transfer, assign, or sell all the rights, benefits, or obligations to any person and these Terms shall continue to be in force and effect for the benefit of the successors and assigns of SPARTAEX or its lenders, if any.
You may not use your SPARTAEX Account to engage in the following categories of activity (‘‘Prohibited Uses’‘). The specific types of use listed below are representative, but not exhaustive. If you are uncertain as to whether or not your use of SPARTAEX Services involves a Prohibited Use, or have questions about how these requirements apply to you, please contact us at support@spartaex.com. By opening a SPARTAEX Account, you confirm that you will not use your Account to do any of the following: Unlawful Activity: Activity which would violate, or assist in violation of, any law, statute, ordinance, or regulation, sanctions programs administered in the countries where SPARTAEX conducts business, or which would involve proceeds of any unlawful activity; publish, distribute or disseminate any unlawful material or information. Abusive Activity: Actions which impose an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information; transmit or upload any material to the SPARTAEX Site that contains viruses, trojan horses, worms, or any other harmful or deleterious programs; attempt to gain unauthorized access to the SPARTAEX Site, other SPARTAEX Accounts, computer systems or networks connected to the SPARTAEX Site, through password mining or any other means; use SPARTAEX Account information of another party to access or use the SPARTAEX Site, except in the case of specific Merchants and/or applications which are specifically authorized by a user to access such user's SPARTAEX Account and information; or transfer your account access or rights to your account to a third party, unless by operation of law or with the express permission of SPARTAEX. Abuse Other Users: Interfere with another individual's or entity's access to or use of any SPARTAEX Services; defame, abuse, extort, harass, stalk, threaten or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity and intellectual property) of others; incite, threaten, facilitate, promote, or encourage violent acts against others; harvest or otherwise collect information from the SPARTAEX Site about others, including without limitation email addresses, without proper consent. Fraud: Activity which operates to defraud SPARTAEX, SPARTAEX users, or any other person; provide any false, inaccurate, or misleading information to SPARTAEX Illegal Gambling: Illegal Lotteries; illegal bidding fee auctions; illegal sports forecasting or odds making; illegal fantasy sports leagues with cash prizes; illegal internet gaming; illegal contests; sweepstakes; games of chance. Intellectual Property Infringement: Engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the law, including but not limited to sales, distribution, or access to counterfeit music, movies, software, or other licensed materials without the appropriate authorization from the rights holder; use of SPARTAEX intellectual property, name, or logo, including use of SPARTAEX trade or service marks, without express consent from SPARTAEX or in a manner that otherwise harms SPARTAEX or the SPARTAEX brand; any action that implies an untrue endorsement by or affiliation with SPARTAEX.
In addition to the Prohibited Uses described above, the following categories of businesses, business practices, and sale items are barred from SPARTAEX Services (‘‘Prohibited Businesses’‘). Most Prohibited Businesses categories are imposed by Card Network rules or the requirements of our banking providers or processors. The specific types of use listed below are representative, but not exhaustive. By opening a SPARTAEX Account, you confirm that you will not use SPARTAEX Services in connection with any of following businesses, activities, practices, or items:
Express written consent and approval from SPARTAEX must be obtained prior to using SPARTAEX Services for the following categories of business and/or use (‘‘Conditional Uses’‘). Consent may be requested by contacting support@spartaex.com. SPARTAEX may also require you to agree to additional conditions, make supplemental representations and warranties, complete enhanced on-boarding procedures, and operate subject to restrictions if you use SPARTAEX Services in connection with any of following businesses, activities, or practices:
SPARTAEX uses different systems and procedures to collect and verify information about you in order to protect SPARTAEX and the community from fraudulent users, and to keep appropriate records of SPARTAEX's customers. Your access to one or more SPARTAEX Services, and limits including daily, weekly, monthly or yearly Exchange or/and Market limits, withdrawal and trading limits, Instant Buy and Sell limits, Fiat and Digital Currency Wallet transfer limits, and limits on transactions from a linked payment method may be based on the identifying information and/or proof of identity you provide to SPARTAEX. SPARTAEX may require you to provide or verify additional information, or to wait some amount of time after completion of a transaction, before permitting you to use any SPARTAEX Services and/or before permitting you to engage in transactions beyond certain volume limits. You may determine the volume limits associated with your level of identity verification by visiting your account's page. You may increase your account Limits with Verification of your account. SPARTAEX will require you to submit to Enhanced Due Diligence. Additional fees and costs may apply.
It is your responsibility to provide us with a true, accurate and complete e-mail address and your contact information, and to keep such information up to date. You understand and agree that if SPARTAEX sends you an electronic Communication but you do not receive it because your primary email address on file is incorrect, out of date, blocked by your service provider, or you are otherwise unable to receive electronic Communications, SPARTAEX will be deemed to have provided the Communication to you. You may update your information by logging into your account and visiting settings or by contacting our support team via e-mail at support@spartaex.com.
This policy describes how SPARTAEX delivers communications to you electronically. We may amend this policy at any time by providing a revised version on our website. The revised version will be effective at the time we post it. We will provide you with prior notice of any material changes via our website. You agree and consent to receive electronically all communications, agreements, documents, notices and disclosures (collectively, ‘‘Communications’‘) that we provide in connection with your SPARTAEX Account and your use of SPARTAEX Services. Communications include: Terms of use and policies you agree to (e.g., the SPARTAEX User Agreement and Privacy Policy), including updates to these agreements or policies; Account details, history, transaction receipts, confirmations, and any other Account or transaction information; Legal, regulatory, and tax disclosures or statements we may be required to make available to you; and Responses to claims or customer support inquiries filed in connection with your Account. We will provide these Communications to you by posting them on the SPARTAEX website, emailing them to you at the primary email address listed in your SPARTAEX profile, communicating to you via instant chat, and/or through other electronic communication such as text message or mobile push notification.
